Abstract

Analyses the European Securities and Markets Authority's (ESMA) "Final Report on the Proxy Advisory Industry", published in February 2013, providing high-level principles for the ethical conduct of proxy advisory firms operating in the financial markets and the transparency of their advice, particularly on the voting recommendations they make to investors. Comments on ESMA's proposal that an industry code of conduct should be developed, and suggests instead the adoption of an EU Stewardship Code, modelled on the UK Stewardship Code, applicable to a wide range of market actors.
